These general terms and conditions of sale define the rights and obligations of CodixWeb (Julian Albiar Fernandez, CBE 0676.699.318) and its clients for all its services: website creation, custom development, online visibility, hosting, maintenance and IT support. They apply to every order, unless otherwise agreed in writing between the parties.
Quotes and orders
Requests sent through the website, including the online quote request, do not constitute an order: they allow CodixWeb to prepare a tailored quote.
Quotes are free of charge and valid for 60 days from their date of issue, unless stated otherwise. An order is formed when the quote is accepted in writing, which constitutes full acceptance of the quote and of these terms and conditions.
Deposit
A 50% deposit is payable on ordering for any service above €150. Invoices below €150 are payable in cash, without discount.
Payment terms
The balance is payable on receipt of the invoice, and no later than 7 days after its date of issue.
Delivery times
Unless a timeframe is agreed in the quote, delivery is estimated at between 3 and 14 working days after receipt of the deposit, provided that the client supplies the content and that hosting access is operational. Timeframes are indicative.
Late payment
Any late payment automatically incurs late-payment interest at the applicable statutory rate, as well as a fixed indemnity of €40 for collection costs, without prior notice of default.
For consumer clients, this interest and indemnity are only due after a first free reminder has been sent, and within the limits set by Book XIX of the Code of Economic Law.
Right of withdrawal
A consumer client who concludes a distance contract (online, by email or by phone) has 14 days to withdraw, without having to give any reason.
If the consumer expressly requests that the service begin before the end of that period, they remain liable for the amount corresponding to the services already provided. The right of withdrawal can no longer be exercised once the service has been fully performed with their consent.
Complaints
Any complaint about an invoice must be made in writing within 8 days of its date of issue, failing which the invoice is deemed accepted. This provision does not affect the statutory guarantees that consumers are entitled to.
Intellectual property
Unless otherwise agreed, deliverables (code, designs, content) remain the property of CodixWeb until the price has been paid in full. Any unauthorised use, reproduction or modification before such payment may give rise to the client's liability under copyright law.
Liability
CodixWeb undertakes to provide its services with care and professionalism; this is an obligation of means. Except in the case of gross negligence or wilful misconduct, its liability is limited to the amount of the service concerned and excludes indirect damage (loss of data, customers or turnover).
Data protection
Personal data is processed in accordance with the privacy policy.
Governing law and disputes
These terms and conditions are governed by Belgian law. In the event of a dispute, the courts of the judicial district of Liège have exclusive jurisdiction, without prejudice to the rules of jurisdiction that protect consumers.
Consumer clients may also contact the Consumer Mediation Service (consumerombudsman.be).
